Welcome to Fizion! These Terms of Service ("Terms") govern your use of the Fizion mobile application and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account, downloading the Fizion app, or otherwise accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Fizion is a mobile-first application designed to help creators and marketers streamline their social media workflow by enabling unified posting and scheduling for various social media platforms. The Service includes:

  • Unified posting to multiple social media platforms
  • Content scheduling capabilities
  • Basic analytics and engagement tracking
  • AI-assistant
  • Secure social media account linking via OAuth

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

3. Account Registration and Security

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to disable any user account if we believe you have violated these Terms.

4. Social Media Account Integration

Our Service allows you to connect your social media accounts. By connecting these accounts, you authorize us to:

  • Access your social media accounts via the APIs provided by those platforms
  • Post content to your social media accounts on your behalf
  • Retrieve engagement data and analytics from your social media accounts

You acknowledge that your use of third-party social media platforms through our Service is subject to the terms and policies of those platforms. We are not responsible for changes to third-party APIs that may affect the functionality of our Service.

5. User Content

You retain all rights to the content you create, upload, or post through the Service ("User Content"). By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of providing the Service to you.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate the rights of any third party
  • Your User Content complies with these Terms and all applicable laws and regulations

We do not claim ownership of your User Content, but we need certain rights to provide the Service.

6. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Post or transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service to send spam or unsolicited communications
  • Use the Service to collect or harvest user data without consent
  • Use the Service in a way that could damage, disable, overburden, or impair it

7. Intellectual Property Rights

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Fizion and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Subscription and Billing

While the basic version of Fizion is free, we may offer premium features through subscription plans. By subscribing to a premium plan, you agree to pay the applicable fees as they become due.

Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. You can manage and cancel your subscription through your app store account settings.

We reserve the right to change our subscription fees upon reasonable notice. Such notice may be provided at any time through a posting on our website or app.

9. Limitation of Liability

To the maximum extent permitted by law, Fizion and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

10. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Fizion and its affiliates, officers, employees, agents, partners, and licensors expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that any defects in the Service will be corrected.

11. Indemnification

You agree to defend, indemnify, and hold harmless Fizion and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right
  • Any claim that your User Content caused damage to a third party

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account through the app settings.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Fizion is established, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
